Profit Distribution in Capital Companies - A Comparison of Legal Systems in the Czech Republic, the United States of America, and the Russian Federation Abstract In the modern business world, the distribution of a company's profits is a complex decision- making process that considers not only legal, tax, and economic aspects but also political and cultural contexts. Therefore, this thesis is divided into five chapters, the first of which is a theoretical section discussing the nature and implications of corporate economic behavior, including the motivations for profit distribution. The core of the thesis consists of three analytical chapters on the distribution of profits in capital companies in the Czech Republic, the State of Delaware in the United States of America, and the Russian Federation. This selection allows for a cross-sectional examination of the different approaches to this topic against diverse legal cultures and political climates. The fifth and concluding chapter offers a comparative analysis of the commonalities and differences in profit distribution in capital companies within these jurisdictions. This thesis explores options how Czech citizens could penetrate American market in Delaware. It finds solutions how to become an entrepreneur in Delaware, if possible. The thesis analyses the best suitable visa, business structure and owner's responsibilities that need to be fulfilled in order to be successful. Substantial part is dedicated to running a business from a distance, in this matter American company that is managed from the Czech Republic.
The law of american corporations

This Master thesis deals with corporations in americam legal system. The theme is described from RMBCA point of view and then there is compared the law of state Delaware with the law of state New York. Preliminary there are described american legal business entities and their czech equivalent structure. The main part of the thesis is attened to the legal form of the corporation, the formation and incorporation, the corporate governance and the financial structure od the corporation. In each section there are relevant precedents of Delaware and New York. Conclusion of the thesis describes the New York courts system, especially explains the function of Court of Chancery.

In this thesis the author deals with the comparision of american alternative business entities according to the law of the state Delaware with the czech "personal business societies". In the body of the thesis there are described the following 3 types of business entities: general partnership, limited partnership and limited liability limited partnership, including the description of its formation and dissolution, the rights, powers, duties and liabilities of the partners. After each section there are compared to the czech Commercial code (Seccions veřejná obchodní společnost and komanditní společnost).
